ASG Acquires Dirig Software, Provider of J2EE Application Management Solutions

Acquisition Strengthens ASG’s Enterprise Performance Management Family

NAPLES, Fla. and NASHUA, NH/Thursday, February 26, 2004/Business Wire — ASG, an enterprise software and professional services provider to Global 5000 companies, today announced the completion of its acquisition of Dirig Software, a leading provider of adaptive J2EE performance management solutions. ASG has acquired 100 percent of the shares of stock of Dirig through a merger of a wholly owned subsidiary of ASG with Dirig Software, whose operations will be merged into ASG’s Enterprise Performance Management line-of-business. Financial terms of the deal were not disclosed.

The acquisition follows a distribution partnership that began in late 2003, under which ASG gained the rights to incorporate Dirig Software’s Performance Management software suite, including its Application Performance Platform (APP), into the ASG-TMON™ suite of enterprise performance management solutions as ASG-TMON™ for eBusiness.
